By observing the outcome of the FCPA or the UK Bribery Act prosecutions we can see that&nbsp;<strong>those who got fines failed to implement them in the course of their compliance effort<\/strong>. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This blog entry refers to the most recent version of the UK Ministry of Justice guidance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These&nbsp;<strong>Six Principles<\/strong>&nbsp;include:<\/p>\n\n\n\n<p class=\"has-purple-background-color has-background wp-block-paragraph\">Principle 1:&nbsp;<strong>Proportionate Procedures<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>A commercial organisation\u2019s procedures to prevent bribery by persons associated with it are&nbsp;<strong>proportionate to the bribery risks<\/strong>&nbsp;it faces and to&nbsp;<strong>the nature, scale and complexity of the commercial organisation\u2019s activities<\/strong>. They are also clear, practical, accessible, effectively implemented and enforced<\/em>.<\/p>\n\n\n\n<p class=\"has-purple-background-color has-background wp-block-paragraph\">Principle 2:&nbsp;<strong>Top Level Commitment<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>The top-level management of a commercial organisation (be it a board of directors, the owners or any other equivalent body or person) are&nbsp;<strong>committed to preventing bribery by persons associated with it<\/strong>. They&nbsp;<strong>foster a culture within the organisation in which bribery is&nbsp;never acceptable<\/strong> I this section, inter alia, we can read that a \u201cbonus culture\u201d encourages risk- taking<\/em>.<\/p>\n\n\n\n<p class=\"has-purple-background-color has-background wp-block-paragraph\">Principle 3:&nbsp;<strong>Risk Assessment<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>The commercial organisation&nbsp;<strong>assesses the nature and extent of its exposure to potential external and internal risks<\/strong>&nbsp;of bribery on its behalf by persons associated with it. The assessment is periodic, informed and documented.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Common&nbsp;<strong>external risks<\/strong>&nbsp;included in the Guidance are:<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>Country<\/em><\/li><li><em>Sectoral<\/em><\/li><li><em>Transactional<\/em><\/li><li><em>Business opportunity<\/em><\/li><li><em>Business partnership<\/em><\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Common&nbsp;<strong>internal factors<\/strong>&nbsp;which may increase the level of risk included in the Guidance are:<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>Deficiencies in employee training, skills, and knowledge<\/em><\/li><li><em>A \u201cbonus culture\u201d that encourages risk- taking<\/em><\/li><li><em>Lack of clarity regarding hospitality and promotional policies and procedures<\/em><\/li><li><em>Lack of clear financial controls<\/em><\/li><li><em>Lack of a clear message from the top<\/em><\/li><\/ul>\n\n\n\n<p class=\"has-purple-background-color has-background wp-block-paragraph\">Principle 4:&nbsp;<strong>Due Diligence<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>The commercial organisation&nbsp;<strong>applies due diligence procedures<\/strong>, taking a proportionate and&nbsp;<strong>risk based approach<\/strong>, in respect of persons who perform or will perform services for or on behalf of the organisation,&nbsp;<strong>in order to mitigate identified bribery risks<\/strong>.<\/em><\/p>\n\n\n\n<p class=\"has-purple-background-color has-background wp-block-paragraph\">Principle 5:&nbsp;<strong>Communication (including training)<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>The commercial organisation seeks to&nbsp;<strong>ensure that its bribery prevention policies and procedures are embedded and understood throughout the organisation<\/strong>&nbsp;through internal and external communication, including training that is proportionate to the risks it faces.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Under the principle of communication, the Guidance addresses a number of important issues, including:<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>Training, especially tailored training for those in high-risk functions such as purchasing, contracting, distribution and marketing, or those working in high-risk locations, or involved in \u2018speak up\u2019 procedures (e.g. whistleblowing).
